Role overview

Flow is a venture-backed real estate and technology platform creating flexible living and working communities across condominiums, hotels, multifamily residences, and office spaces. We’re seeking a Corporate and Commercial Counsel to join our expanding legal team in Miami as a true business partner, taking on a generalist role that spans corporate transactions, commercial contracting, and operational legal matters across our growing company.

Key responsibilities

  • Manage Flow’s commercial contracting lifecycle by structuring, drafting, reviewing, analyzing, and negotiating a broad range of agreements including vendor agreements, construction and design agreements, events agreements, and marketing agreements.
  • Handle corporate aspects of business transactions, including drafting corporate consents and managing post-closing integration activities.
  • Oversee entity management and governance across Flow’s complex corporate structure spanning U.S. and international subsidiaries, including drafting written consents, officer certificates, and board resolutions, as well as managing entity formations and dissolutions.
  • Support licensing and permitting compliance across multiple U.S. jurisdictions.
  • Address operational legal issues including lease compliance and property-level matters.
  • Assist with brand and advertising compliance initiatives.
  • Manage dispute resolution and litigation matters as they arise.

Requirements

  • Between two and four years of experience in early-stage venture capital, general corporate work at a major law firm, or comparable corporate and commercial in-house roles at high-growth or venture-backed companies.
  • Demonstrated comfort working with multi-entity corporate structures and subsidiary governance.
  • Proficiency and enthusiasm for using artificial intelligence creatively across drafting, contract review, and project management activities.
  • Ability and desire to own work end-to-end and actively contribute to building out the legal department.
  • Willingness to tackle diverse legal challenges and a collaborative attitude; while prior experience with dispute resolution, real estate, or licensing and permitting is not required, a genuine commitment to learning is essential.
  • Bar admission and good standing in Florida or New York.

What makes this role worth considering

This position offers the rare opportunity to shape a legal function from the ground up at a high-growth startup, transitioning from traditional corporate work into a broad generalist role that touches every aspect of the business. You’ll partner directly with business teams to align legal strategy with company strategy, gaining exposure to real estate operations, technology platforms, and multi-jurisdictional compliance all in one role.
