Role overview

Geotab is a global leader in IoT and connected transportation solutions that help businesses manage and optimize their vehicle fleets. As Legal Counsel, Corporate, you will join the in-house legal team in Toronto to handle complex corporate and commercial transactions, working across technology, privacy, intellectual property and global strategic initiatives.

Key responsibilities

  • Manage complex corporate and commercial agreements with emphasis on domestic and cross-border transactions including acquisitions, investments, divestitures, restructurings and joint ventures.
  • Support post-acquisition integration activities and legal aspects of risk management strategies focused on corporate structuring.
  • Draft, review and negotiate a broad range of commercial and finance agreements such as partnership agreements, purchase agreements, confidentiality agreements, debt instruments, licensing arrangements and vendor contracts.
  • Lead negotiations with resellers, customers, solution partners, OEMs, suppliers, governments and other global stakeholders while balancing legal, technical and business considerations.
  • Advise on legal strategy for high-volume electronic contracting, term pass-through mechanisms and products undergoing frequent upgrades.
  • Provide counsel on emerging regulatory topics including artificial intelligence, big data, the Internet of Things, data privacy and industry-wide issues affecting the company and its stakeholders.
  • Support product design, development and implementation from a legal perspective and provide general legal guidance on corporate, commercial and human resources matters.

Requirements

  • Bachelor’s degree in a related field plus post-secondary law specialization with a license to practice in Ontario and current membership in good standing with the Law Society of Ontario.
  • Broad corporate and mergers and acquisitions experience with particular focus on technology transactions and familiarity with both common law and civil law jurisdictions.
  • Understanding of global corporate and tax structuring considerations and demonstrated ability to work collaboratively with senior management and outside counsel.
  • Experience negotiating with large multinational regulated organizations including federal, state and local government entities.
  • Knowledge of data privacy and artificial intelligence laws, telematics industry regulations and previous exposure to software and technology sectors.
  • Strong interpersonal and communication skills with excellent presentation and public speaking abilities, demonstrated project management capabilities and meticulous attention to detail.
  • Ability to handle sensitive information with discretion, solid diplomacy and conflict resolution skills, and multilingual abilities are considered an asset.
